1. Introduction

1.1          Welcome to Integrape and Vure, web-based and app tools that enable users to store, retrieve and analyse their vineyard data. Integrape and Vure are owned and operated by Intecrop Limited, a limited liability company incorporated in New Zealand, and includes all current and future subsidiaries (Intecrop, Our, Us or We). Your privacy is important to us. This Privacy Policy sets out information we are required to communicate to you in accordance with the Privacy Act 2020.  

1.2          In this Privacy Policy, “Personal Information” means information relating to an identified or identifiable natural person. This Privacy Policy sets out what Personal Information Intecrop may collect from you, how it is used, disclosed, protected and your choices regarding your Personal Information. This Policy applies across all our platforms, to all of the Intecrop’s activities and to all products and services offered by Intecrop.  


2. Consent

2.1          By providing your Personal Information to Intecrop, including by accessing our products or services as an Account Owner or an Account User, visiting the Intecrop Websites or engaging with Intecrop via email, telephone or in person, you acknowledge that you have read and understood this Privacy Policy and that you agree to its terms. In particular, you give your consent to the processing of your Personal Information as described in this Privacy Policy.  


3. Updates to this Privacy Policy

3.1          Intecrop may update this Privacy Policy from time to timewill make every effort to communicate these changes to you via email or notification via the Intecrop Websites. Changes will take effect when they are updated on the Intecrop Websites. Please check frequently for updates. To the extent permitted under applicable law, by using Intecrop’s products or services after such notice, you consent to updates to this policy.

3.2          Please read this Privacy Policy carefully. If you do not agree to any change to this policy, you should immediately stop using Intecrop’s products or services and the Intecrop Websites.  


4. Why do we collect Personal Information?

4.1          Intecrop collects, uses and discloses Personal Information to:
             (a) provide you with products and services and maintain them;
             (b) to market our products and services;
             (c) to perform data analytics to understand any trends and build a profile of your preferences and goals;
             (d) review and improve its products and services;
             (e) defend ourselves against any legal claims; and
             (f) to meet its legal obligations.


5. Who do we collect Personal Information about?

5.1          Intecrop collects and hold Personal Information about:
             (a) individuals we provide products or services to, including Account Owners;
             (b) persons who use our products or services and individuals associated with those persons (e.g. Account Users, employees or contractors); and
             (c) other individuals who come into contact with us via the Intecrop Websites, email or phone.


6. What Personal Information do we collect?

6.1          The type of Personal Information we collect depends on the purpose for collection and circumstances of collection, but may include:  
             (a) identifying information, such as your name, business name and business address;
             (b) contact details, such as your postal address, telephone number and email address;
             (c) information about current or upcoming work or projects that you and/or your vineyard will undertake;
             (d) any Personal Information or documentation (including vineyard records or historic data) that you provide to us;
             (e) information you voluntarily provide about yourself or your vineyard;
             (f) data relating to your use of our products or services;
             (g) your device’s geo-location when accessing our services;
             (h) information about your preferences, such as how you would prefer to be contacted;
             (i) data collected when you visit or use the Intecrop Websites. That data may include your IP address, cookies, device information, unique device identifiers, operating system and version and mobile network information.


7. Non-Personal Information

7.1          Intecrop may collect information that is not Personal Information (i.e. it is not attributable to you or your vineyard individually). The purpose of this is to ensure we can further develop our existing services and products and investigate new services and products that can compile and present geospatial and other data more effectively for Users.

7.2          If we do combine non-Personal Information with Personal Information the combined information will be treated as Personal Information.


8. How do we collect Personal Information?

Direct collection

8.1          We may collect Personal Information directly from you, including in the following circumstances:
(a)           when you interact with us in person, on the phone or via email or the Intecrop Websites;
(b)           when you sign up to use our services or submit information via the Intecrop Websites; and  
(c)           when you enter information into an online form, such as an online survey.

Automatic collection  

8.2          We collect some information automatically when you use Intecrop’s services and visit the Intecrop Websites.

From third parties  

8.3          We may collect Personal Information about you from third parties, including:
(a)           partners that we work with to carry out our functions and to provide you with products and services;
(b)           Information Providers;
(c)           our professional advisors;
(d)           Account Owners and/or Account Users that access the Intecrop Websites using the account that you also use to access the Intecrop Websites; and
(e)           in certain circumstances, publicly available information.

8.4          Where you are providing us with information about another individual, you must ensure that the individual whose Personal Information you are supplying has authorised the disclosure of that Personal Information to Intecrop, and is informed of and agrees to the terms of this Privacy Policy.


9. What happens if you do not provide Personal Information to us?

9.1          If we have requested Personal Information and you do not provide it, we may not be able to provide you with some or all the products or services you have requested.


10. How we use your Personal Information

10.1        We use your Personal Information to:
(a)           provide you with products and services and perform our contractual obligations to you;
(b)           maintain and improve our products and services;
(c)           market our products and services;
(d)           inform us about our User demand and User behaviours and goals for Intecrop’s products and services;
(e)           communicate with you in the context in which you have engaged with us;
(f)            communicate essential notifications and other information to you;
(g)           to record your orders and for billing purposes;
(h)           to enforce our terms, conditions, and policies;
(i)            notify you about other or new Intecrop services, products or promotions where you have opted to receive such notifications;
(j)            communicate with you, either directly or via one of our partners, for marketing, research or participation in surveys or competitions where you have opted to receive such communications;
(k)           facilitate the development, maintenance and marketing of the Intecrop Websites;
(l)            if you provide content (such as comments or reviews) to us, to publish that content on the Intecrop Websites;
(m)          perform statistical and data analysis of Account Owner and Account User behaviour, preferences, goals and vineyard trends, and of characteristics and use of the Intecrop Websites; and
(n)           comply with our legal obligations.


11. Disclosure to third parties

11.1        Intecrop may also use third party providers to provide services and products. We may share your Personal Information with the third parties we work with or who assist us with providing services or products. These third parties include:
(a)           our professional advisors and consultants;
(b)           Account Owners and/or Account Users that access the Intecrop Websites using the account that you also use to access the Intecrop Websites;
(c)           government agencies and testing agencies;
(d)           geospatial data providers;
(e)           persons who assist us to provide services or perform our functions, including in relation to:
              (i)             the development, operation and maintenance of the Intecrop Websites, telephone and email;
              (ii)            secure payment processing;
              (iii)           information processing and storage;
              (iv)          managing and enhancing User data;
              (v)           providing customer service; and
              (vi)          assessing your interest in our products and services and conducting User research or satisfaction surveys; and
(f)            anyone else to whom you authorise us to disclose it.


12. Disclosure by Law

12.1        We may be required by law to disclose your Personal Information.

12.2        We may also disclose your Personal Information to a third party if we have a belief that either you have consented to the action, or that such action is necessary to:
(a)           enforce this Privacy Policy or the Terms and Conditions;
(b)           comply with a judicial proceeding, court order, or legal process; or
(c)           protect the rights, property, or personal safety of us or our agents, personnel and subcontractors, or others.

12.3        You authorise us to disclose any information about you to law enforcement or government officials as we, in our sole discretion, believe is necessary or appropriate.


13. Transfer of information overseas

13.1        We will generally hold your information in New Zealand.

13.2        Certain Personal Information may be transferred to third countries or international organisations for the purpose of providing Intecrop’s services and products to you.

13.3        Where information is transferred outside New Zealand, it will not be transferred without your permission unless:
(a)           we believe on reasonable grounds that the organisation is subject to privacy laws that provide a comparable safeguard to those in New Zealand; or
(b)           the organisation is required to protect the Personal Information in a way that, overall, provides comparable safeguards to those in New Zealand Privacy Law.


14. Third-party sites and services

14.1        The Intecrop Websites and other materials may contain links or references to third-party websites, products and services.

14.2        Information collected by such third parties, which may include your location data or contact details, is governed by the third party’s privacy practices or policies. We recommend that you check the privacy policies of those third parties. We accept no responsibility or liability for any third party’s practices or policies or your provision of Personal Information to them.


15. Cookies

15.1        “Cookies” are a small piece of data sent from a website and stored in a User’s web browser while the User is browsing that website. Every time the User loads the website, the browser sends the cookie back to the server to notify the website of the User’s previous activity.

15.2        The Intecrop Websites use “cookies” to make the service as easy for you to use as possible and helps us better understand User behaviour.

15.3        We treat information collected by cookies and other similar technologies as non-Personal Information unless:
(a)           applicable laws require us to treat them as Personal Information; and
(b)           to the extent that non-Personal Information is combined with Personal Information, we treat the combined information as Personal Information for the purposes of this Privacy Policy.

15.4        You can disable cookies on your computer if you wish, but please note that if you disable caching or choose to block sites from sending any data, this will cause the site not to work.


16. Google Analytics

16.1        We use Google Analytics to help us to understand how you use our site and tools and to understand the activity of people who access Intecrop’s websites, which allows us to improve the Intecrop Websites, services and products for your benefit.

16.2        Google Analytics follows your progress through a website, collecting anonymous data on where you have come from, which pages you visit, and how long you spend on the site. Google then stores this data in order to create reports.

16.3        Google will track your IP address. This information may be transmitted to and stored by Google on servers in the United States. Google may use this information for the purpose of evaluating your use of the website, compiling reports on website activity for us, and providing other services relating to website activity and Internet usage.

16.4        Google may also transfer this information to third parties where required to do so by law, or where such third parties process the information on Google’s behalf. Google will not associate your IP address with any other data held by Google. When you use the Intecrop Websites, services or products, you consent to the processing of data about you by Google in the manner and for the purposes set out above.

16.5        The Google website contains further information about Google Analytics and a copy of Google’s privacy policy.


17. Security of your Personal Information

17.1        To prevent unauthorized access, maintain data accuracy, and ensure the correct use of information, we have put in place appropriate physical, electronic, and managerial procedures to safeguard and secure the information we collect.

17.2        Intecrop and any third party providers store Personal Information in a secure environment accessed only by authorised persons. We use generally accepted security standards to protect Personal Information collected from you from misuse and loss and from unauthorised access, modification and disclosure.

17.3        Intecrop also maintains internal privacy procedures to ensure its staff handle Personal Information in an appropriate way.  

17.4        We cannot guarantee security of information transmitted through the internet.  We will do our best to protect your personal data, however any transmission is at your own risk.


18. How long will we keep your Personal Information?

18.1        Intecrop will retain your Personal Information for as long as it is needed for the purpose for which it was collected (or any other purpose you have consented to) or for so long as we are required by law to retain it.


19. Access to your Personal Information  

19.1        You can access some of your Personal Information that we collect through the Intecrop Websites by logging into your User Account. You may request access to other Personal Information that we hold about you by contacting us on privacy@intecrop.io.


20. Correction

20.1        You may request that we correct factual errors in your Personal Information by sending us an email request that shows the error(s) to privacy@intecrop.io.

20.2        To protect your privacy and security, we may also take reasonable steps to verify your identity before granting access or making corrections. We may refuse access to or correction of your information for any reason of refusal permitted by law.

20.3        However, if you have contacted us to request an update, block or rectification (correction) of personal data we hold about you and we have not made that correction, you may require us to attach to your Personal Information a statement of the correction that you requested.


21. Complaints

21.1        If you have any questions about privacy related issues or wish to complain about the handling of your Personal Information by us, please contact our Privacy Officer at privacy@intecrop.io. We may ask you to lodge your complaint in writing. Any complaint will be investigated by the Privacy Officer and you will be notified of the decision in relation to your complaint as soon as practicable after it is made, usually within 20 working days.

21.2        If we are unable to satisfactorily resolve your concerns about our handling of your Personal Information, you can contact the Office of the Privacy Commissioner at: PO Box 10-094, Wellington 6143, phone 0800 803 909, http://privacy.org.nz/.

23. Definitions used in this privacy policy

Account
means an account held by an Account Owner with Intecrop for the purposes of purchasing and accessing Intecrop’s products and services.

Account Owner means the person who registers to use Intecrop’s products and services or the bill payer or credit card holder responsible for paying for the relevant product or service.

Account User means any individual or entity nominated by the Account Owner or its nominated manager, and authorised by Intecrop and/or the Account Onwer, to access and use Intecrop’s products and services.

Information Provider means an individual or entity other than an Account Owner or Account User from which Intecrop may obtain data or other information in order to provide its products or services.

Intecrop Websites means the Intecrop website (www.Intecrop.com), the Intefruit website (data.agconsult.co.nz), the Vure website (www.vurehub.com) and the Intecrop iOS and Android applications and online application (app.Intecrop.com).New Zealand Privacy Law means:
(a)           the Privacy Act 2020 and any regulation and/or code of practice issued under it; and
(b)           any other law relating to the protection of Personal Information that Intecrop must observe.

Personal Information means information relating to an identified or identifiable natural person.
